Prosus N.V. Completes Accelerated Offering of Tencent Shares

Prosus N.V. (Prosus) (Euronext Amsterdam: PRX; JSE: PRX) announced today that it has completed a sale of a parcel of Tencent shares, reducing its stake from approximately 30,9% to 28,9%. The sale was conducted by way of an Accelerated Offering at a price of HK$595 per share and yielded US$14.6 billion in proceeds. These will be used to increase its financial flexibility for investing in growth, plus for general corporate purposes. Prosus announced a commitment not to dispose of any further shares in Tencent for a period of at least the next three years.
Prosus Chair Koos Bekker said: “In our view Tencent is one of the world’s best growth enterprises. Since listing in 2004, it has consistently delivered value. Our belief in Tencent and its management team is steadfast, but we also need to fund continued growth in our core business lines and emerging sectors. Plus create some headroom for acquisitions.”
He added: “We informed Tencent of our intention, which was understood and supported by them. We commit that we will not sell further Tencent shares for at least the next three years, in line with our long-term belief in the business.”
Tencent chairman, Pony Ma, said, “Naspers/Prosus has been a committed strategic partner over a great many years. Tencent respects and understands the decision and looks forward to continuing to work closely together in building a mutually supportive and prosperous future for both Naspers/Prosus and Tencent”.
Prosus CEO Bob van Dijk highlighted that the COVID-19 pandemic has accelerated digital transformation across the group’s growth sectors, mainly online classifieds, food delivery, payments and fintech, education, and ecommerce. “The proceeds of the sale will increase our financial flexibility, enabling us to invest in the significant growth potential we see across the group, as well as in our own stock.”
